These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you ("you" or the “User”) and Kintela (collectively, “Kintela,” “we,” “us,” or “our”) governing your access to and use of the website located at https://kintela.com and any sub‑domains (the “Site”) as well as any purchase of goods or services (“Products”) from us.

By (i) accessing or browsing the Site, (ii) creating an account, or (iii) placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy (together, the “Policies”). If you do not agree, you must not use the Site or purchase Products.

The Nigerian entity is the contracting party for all orders delivered within Nigeria; the UK entity is the contracting party for all other orders. References to “Kintela” cover both entities.

2. Eligibility & Licence to Use the Site

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or make a purchase.

  • We grant you a limited, revocable, non‑exclusive, non‑transferable licence to access and use the Site for personal, non‑commercial purposes, subject to these Terms.

3. Products, Pricing & Availability

  1. Product Information. We endeavour to display descriptions, measurements, colours, and prices accurately. However, colours may vary by monitor/device and measurements are approximate.

  2. Pricing. Prices are quoted in Nigerian Naira (NGN) by default unless otherwise stated. Shipping, customs duties, and taxes (where applicable) are added at checkout and shown before you place an order.

  3. Availability. All Products are offered subject to stock. We may discontinue Products, change specifications, or limit quantities at any time.

  4. Order Process. Your order constitutes an offer to buy. We will send an email acknowledging receipt; acceptance occurs only when we dispatch the Products and send a dispatch confirmation. We may reject or cancel any order for any legitimate reason, e.g., suspected fraud, pricing error, or regulatory restriction.

4. Payment

  • We accept payment via Paystack‑powered card processing, bank transfer, and any additional methods displayed at checkout.

  • By submitting payment information you represent that you are authorised to use the selected method and that the information is complete and accurate.

  • All payments are processed by secure third‑party gateways. Kintela does not store full card numbers.

5. Shipping, Delivery & Risk of Loss

Shipping times, delivery options, and fees are set out in our Shipping Policy. Title and risk in the Products pass to you once we hand them to the carrier. Delivery dates are estimates, not guarantees.

6. Returns, Exchanges & Refunds

Your rights are detailed in our Returns Policy. Nothing in these Terms limits statutory rights under the Nigerian Sale of Goods Act 1893 (as applicable in Nigeria) or the UK Consumer Rights Act 2015 (for UK customers).

7. Intellectual Property

The Site, its content, and the KINTELA marks are owned by Kintela or its licensors and protected by copyright, trademark, and other laws. Except for the limited licence in § 2 you may not copy, reproduce, distribute, modify, create derivative works from, or publicly display any part of the Site without prior written consent.

8. Prohibited Conduct

You agree not to:

  • violate any applicable law or regulation;

  • infringe any intellectual‑property or privacy right;

  • transmit viruses or malicious code;

  • scrape, data‑mine, or interfere with security‑related features;

  • use the Site for any commercial solicitation or in a manner that could damage, disable, or impair our servers or networks.

9. User Accounts & Security

You are responsible for all activity under your login. Keep your password confidential and notify us immediately of any unauthorised use. We may suspend or terminate accounts that violate these Terms.

10. Third‑Party Links

Links to external sites are provided for convenience; we have no control over and accept no responsibility for their content or practices.

11. Disclaimer of Warranties

Except as expressly stated in writing and to the maximum extent permitted by law, the Site and Products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Kintela’s total aggregate liability for any claim arising out of or relating to the Site, Products, or these Terms shall not exceed the amount you paid for the Product(s) giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot lawfully be excluded.

13. Indemnity

You agree to indemnify and hold harmless Kintela and its directors, officers, employees, and agents from any claim or demand arising out of your breach of these Terms or misuse of the Site.

14. Governing Law & Jurisdiction

  • For Nigerian customers/orders: these Terms are governed by the laws of the Federal Republic of Nigeria; disputes are subject to the exclusive jurisdiction of the courts of Abuja FCT.

  • For customers/orders outside Nigeria: these Terms are governed by English law; disputes are subject to the exclusive jurisdiction of the courts of England & Wales.

Nothing prevents either party from seeking interim injunctive relief in any competent jurisdiction.

15. Termination

We may suspend or terminate your access to the Site or cancel orders (with a refund) if you breach these Terms or we suspect unlawful activity.

16. Changes to the Terms

We may revise these Terms at any time by posting the updated version on the Site and updating the "Effective date" above. Changes apply immediately to new Users and, after 30 days, to existing Users. Continued use after that constitutes acceptance.

17. Severability; Entire Agreement; Waiver

If any provision is held unenforceable, the remaining provisions remain in full force. These Terms, together with the Policies, constitute the entire agreement between you and Kintela. No waiver of any breach constitutes a waiver of any other breach.
